Terms for using UGCViss services and website.
These terms explain how UGCViss works with clients, handles creative services, and governs use of this website.

Agreement to these terms
By using this website, booking a call, submitting an inquiry, or working with UGCViss, you agree to these Terms & Conditions. If you do not agree, please do not use the website or request services.
Additional project terms, proposals, statements of work, invoices, or written agreements may apply to specific services. If there is a conflict, the signed project agreement or written proposal controls for that project.

What UGCViss provides
UGCViss provides creative and growth services that may include UGC ads production, model and product shoots, video editing, motion graphics, short-form content, creator sourcing, actor, influencer, and celebrity talent coordination, creative strategy, paid social ad creatives, and paid ads support.
Exact deliverables, timelines, revision rounds, usage rights, payment terms, talent terms, and production requirements are confirmed before a project begins.

Client responsibilities
Clients are responsible for providing accurate product information, brand guidelines, access to required assets, approvals, product samples, shipping details, claims substantiation, and any legal or compliance guidance relevant to the product or campaign.
Clients must confirm that any claims, testimonials, before-after statements, health claims, pricing, offers, and product descriptions used in creative materials are accurate and permitted for their market.

Proposals, payment, and scheduling
Project pricing is based on the agreed scope. Work may require an upfront deposit, milestone payment, or full payment before production starts, depending on the engagement.
Production schedules depend on timely approvals, product delivery, creator availability, shoot coordination, ad account access when relevant, and client feedback. Delays in these inputs may change delivery dates.

Revisions and approvals
Revision rounds are defined in the project scope. Revisions should be requested clearly and within the agreed feedback window.
Requests outside the agreed scope, including new concepts, new footage requirements, major restructuring, additional aspect ratios, or extra deliverables, may require additional fees or a revised timeline.

Creative ownership and usage
Final asset usage rights are confirmed in the project scope. Unless otherwise agreed, UGCViss may retain ownership of project files, templates, processes, frameworks, and internal production systems.
Clients are responsible for using final assets in compliance with platform rules, advertising policies, intellectual property laws, creator agreements, and applicable regulations.

Third-party creators, tools, and platforms
Some projects may involve creators, models, actors, influencers, celebrity talent, contractors, talent submission materials, stock assets, music, software tools, Calendly, ad platforms, analytics tools, or other third-party services. Their terms may also apply.
UGCViss is not responsible for outages, policy changes, account restrictions, ad disapprovals, algorithm changes, or actions taken by third-party platforms.

Paid ads and performance
UGCViss aims to create sales-focused creative and may support paid ads strategy or management when included in the scope. However, no agency can guarantee specific revenue, ROAS, CPA, conversion rate, approval status, or platform performance.
Ad performance depends on many factors outside UGCViss's control, including offer strength, landing page quality, product-market fit, budget, targeting, competition, seasonality, fulfillment, pricing, and platform behavior.

Creator Portfolio membership
UGCViss Creator Portfolio is a one-time digital membership for one personal creator profile. The base plan includes up to 2GB of hosted media and 25 hosted projects, subject to technical and acceptable-use limits. YouTube, Vimeo, and eligible external embeds do not count toward hosted storage. Storage add-ons expand the limits stated at checkout and are not transferable between accounts.
Creator members retain ownership of their original work but grant UGCViss the limited permission needed to host, process, moderate, display, and promote approved portfolio content. Creators must own or have permission to publish every uploaded asset, client mark, likeness, music track, document, and project detail.
Public profiles and newly uploaded media require review. UGCViss may reject, unlist, or suspend unlawful, misleading, infringing, unsafe, low-quality, or policy-violating content. Approval, verification, featuring, directory placement, client inquiries, employment, freelance work, and invitation to UGCViss's team are not guaranteed.

Creator payments, resources, and refunds
An active Creator Portfolio membership provides personal, non-transferable access to published current and future UGCViss resources while the membership remains in good standing. Resources, prompts, templates, research, and tutorials may not be resold, redistributed, shared publicly, or used to create a competing resource library.
The Creator Portfolio purchase is eligible for a refund request within seven days only when the portfolio has not been published and no premium UGCViss resource has been downloaded. Approved refunds, payment disputes, or chargebacks may suspend the membership, public profile, and premium resource entitlement while preserving account data for review.
UGCViss does not promise perpetual availability of every third-party integration or identical product features forever. We may make reasonable technical, security, legal, or operational changes while aiming to preserve the core lifetime portfolio entitlement within purchased limits.

Confidentiality
Both UGCViss and the client may receive confidential information during a project. Each party should use reasonable care to protect confidential information and only use it for the agreed business purpose.
Confidential information does not include information that is public, independently developed, or lawfully received from another source.

Website use
You may not misuse this website, attempt unauthorized access, interfere with security, copy the website design or content for competing purposes, or use the site in a way that violates applicable law.
The website may include links to third-party sites. UGCViss is not responsible for the content, policies, or practices of those websites.

Limitation of liability
To the fullest extent permitted by law, UGCViss is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.
UGCViss's total liability for a project is limited to the amount paid to UGCViss for the specific service giving rise to the claim, unless a signed agreement says otherwise.
